1. Overview

This Terms of Service Agreement ("Agreement") is entered into by and between Virl ("Company") and you, and is made effective as of the date of your use of this website https://virl.in ("Site") or the date of electronic acceptance.

This Agreement sets forth the general terms and conditions of your use of the Site as well as the products and/or services purchased or accessed through this Site (the "Services"). Whether you are simply browsing or using this Site or purchase Services, your use of this Site and your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement and our Privacy Policy.

Company may, in its sole and absolute discretion, change or modify this Agreement at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site or the Services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT AS LAST REVISED, DO NOT USE (OR CONTINUE TO USE) THIS SITE OR THE SERVICES.

2. Eligibility

This Site and the Services are available only to Users who can form legally binding contracts under applicable law. By using this Site or the Services, you represent and warrant that you are:

  • At least eighteen (18) years of age
  • Otherwise recognized as being able to form legally binding contracts under applicable law
  • Not a person barred from purchasing or receiving the Services under the laws of India or other applicable jurisdiction

If you are entering into this Agreement on behalf of a company or any corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in this Agreement.

3. Software License Terms

The following terms shall apply to all licenses of software service by us to you:

  • We grant you a non-exclusive, non-transferable license to use the cloud-based Software subject to these terms and conditions, and limited to the time agreed between us.
  • We license you to use the Software for your internal business purposes only.
  • We have the right to grant you this license. We are not transferring any rights of ownership, copyright or other intellectual property of the Software to you.
  • You agree to pay our software license fee in full, free of deduction, set off or counterclaim. All amounts are exclusive of taxes unless otherwise indicated.
  • You agree not to transfer the license provided to you of our software, to another company or entity, unless by written agreement with us.

4. Condition of License

During the trial period, the Software is supplied to you 'as is', and we do not give any warranties about it, whether express or implied, including but not limited to, implied warranties of quality and fitness for a particular purpose.

After the trial period, if you choose to subscribe and pay for the Service, we shall provide all reasonable endeavors to ensure an uptime for the cloud-based software service of 99.5% and you may be entitled to further remedies as set out in our service level agreement.

5. Payment and Cancellation

Subscriptions (monthly or yearly) remain active until the end of the billing period after cancellation. Once you purchase and subscribe for the full version of Virl, your license to use it will be activated after your payment has cleared.

Once the license is activated, you may cancel your subscription which will remain active for the remaining period of the subscription. No refunds are provided for the unused portion of any subscription period.

6. Data Protection

We comply with the Information Technology Act, 2000 (India) and store all data in encrypted format. We implement commercially reasonable safeguards to protect your data, though no system can guarantee perfect security.

7. Termination

Either party may terminate this Agreement with 7 days written notice for material breach. We may terminate with 15 days notice for unpaid fees. Upon termination, your access to the Services will be discontinued.

8. Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996, with the venue in Bengaluru, India.

9. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, or acts of civil or military authorities.
